The President signs the "Women on Boards" Act, while also referring it to the Constitutional Tribunal
On 30 July 2026, the President signed the act implementing the EU's "Women on Boards" Directive, but at the same time referred it for ex post (subsequent) review by the Constitutional Tribunal.
The Act requires the under-represented gender to hold at least 33% of positions on the governing bodies of the largest listed companies. It will apply to companies with, typically, at least 250 employees, requiring them to have a gender balance policy. They will have to use clear, non-discriminatory criteria in selecting members to the management and supervisory boards, and publish an annual report on gender representation. Failure to comply with these obligations, will prompt the Polish Financial Supervision Authority (KNF) to recommend that the breach should be remedied, but further failure will lead to a fine of up to PLN 500,000.
The referral to the Constitutional Tribunal does not suspend the Act's operation, so the new provisions will remain in force during the constitutional review.
